This Tutor Service Agreement ("Agreement") is a legally binding contract between you, the tutor ("Tutor," "you"), and Tutors Parliament, a proprietorship business operating from Bengaluru, Karnataka, India ("Tutors Parliament," "TP," "we," "us"), which operates an online marketplace connecting parents and students with independent tutors. By registering on the platform or accepting a lead, you agree to be bound by this Agreement. If you do not agree, do not register or use the platform.
Tutors Parliament operates an online marketplace that connects parents and students with independent tutors. TP is an intermediary — we do not employ tutors, supervise tutoring sessions, guarantee student outcomes, or direct the manner in which tuition is delivered.
By registering, you acknowledge that you are an independent professional operating your own tutoring business. Nothing in this Agreement creates an employer-employee, principal-agent, partnership, or joint venture relationship between you and TP.
You are solely responsible for: (a) all taxes, GST, and professional fees arising from your tutoring income; (b) maintaining your own professional liability or accident insurance if desired; (c) the quality, accuracy, and delivery of your educational services; and (d) compliance with any applicable state-specific tutoring or educational regulations.
2.1 Required information. To register, you must provide a valid government-issued photo ID (Aadhaar, Voter ID, or Passport), educational certificates relevant to the subjects you intend to teach, and a current photograph, contact number, and location preferences.
2.2 Verification limitation. TP verifies documents submitted by you based on the information you provide. We do not independently verify document authenticity with issuing authorities as a matter of routine. You represent and warrant that all documents and information you submit are genuine, accurate, and current.
2.3 Material changes. You must notify TP within 7 days of any material change affecting your eligibility to tutor, including criminal charges or convictions, cancellation of professional licences, or any court orders restricting contact with minors.
2.4 Consequences of misrepresentation. Submitting false or forged documents is a criminal offence under the Bharatiya Nyaya Sanhita, 2023 and may give rise to liability under the Information Technology Act, 2000. TP reserves the right to terminate your account immediately and report such conduct to appropriate law enforcement authorities.
2.5 Re-verification. TP may periodically request updated documentation and/or conduct re-verification. Failure to comply within a reasonable time may result in account suspension.
3.1 Success-based facilitation model. TP operates on a success-based facilitation model. Registration is free. A facilitation fee becomes applicable only when a lead successfully converts into a paid tuition engagement.
3.2 Facilitation fee. The facilitation fee shall be communicated separately by TP and may vary depending on the tuition category, subject, class level, geography, or promotional campaigns. By accepting a lead, you agree to the applicable facilitation fee structure communicated by TP.
3.3 Mandatory conversion reporting. You must report all successful conversions arising from TP leads within 24 hours of the first confirmed paid session. Failure to report a conversion may result in lead suspension, account suspension, withholding of payouts, or permanent removal from the platform.
3.4 Demo classes. A demo or trial class does not constitute a conversion. A conversion is deemed complete only when the student/parent confirms continuation of tuition and the first regular paid session has been delivered.
3.5 Centralized fee collection. All tuition fees for students acquired through TP shall be collected exclusively through TP unless expressly authorized in writing by TP. You shall not: (a) collect tuition fees directly from parents/students; (b) negotiate fee structures independently; (c) request advance payments directly from parents; or (d) circumvent TP's payment process. Any violation may result in immediate account suspension and forfeiture of pending payouts.
3.6 Tutor payout timeline. The first tutor payout shall be processed after completion of 30 days from the Tuition Start Date, subject to: (a) successful fee collection from the parent/student; (b) no active disputes, refund requests, or chargebacks; (c) submission of valid bank account details; and (d) compliance with all TP policies. Thereafter, payouts shall be processed according to TP's prevailing payout cycle.
3.7 Monthly fee collection & ongoing payouts. TP shall continue collecting tuition fees from the parent/student for the duration of the engagement. After receipt of payment from the parent/student, TP shall transfer your eligible share after deducting applicable facilitation fees, platform charges, taxes, refunds, adjustments, or penalties (if any).
3.8 Prohibition on direct fee discussions. You are strictly prohibited from discussing, negotiating, revising, or collecting tuition fees directly with parents or students introduced through TP. Any attempt to bypass TP's payment system, conceal tuition arrangements, or enter into direct payment agreements may result in: (a) immediate suspension of your account; (b) permanent removal from TP; (c) forfeiture of pending payouts; and (d) restriction from receiving future leads.
3.9 Disputed conversions & payment disputes. In the event of any dispute relating to conversion status, fee collection, payment entitlement, or tuition continuation, TP's determination — based on platform records, communication logs, payment records, and reported session data — shall be final, subject to a written appeal submitted within 7 days of the determination.
3.10 No guarantee of leads. TP does not guarantee the quantity, quality, conversion rate, geographic distribution, or frequency of leads. Registration does not entitle you to any minimum number of leads or tutoring engagements.
3.11 Parent payment default protection. If a parent/student fails to make payment, delays payment, or discontinues tuition without notice, TP shall not be liable to pay you for amounts not received from the parent/student.
3.12 Platform relationship protection. Students and parents introduced through TP shall remain TP platform clients for a period of 12 months from the date of first introduction. You shall not directly onboard, migrate, solicit, or continue paid tuition outside TP with such students/parents during this period. Violation may result in permanent account termination and recovery of damages (see also Clause 4, Non-Circumvention).
3.13 Platform policy updates & business discretion. TP reserves the right to modify, amend, introduce, discontinue, or replace any platform policy, commission structure, facilitation fee, payout timeline, lead distribution mechanism, eligibility criteria, tutor benefits, operational process, or commercial arrangement at any time in response to business requirements, market conditions, legal obligations, risk-management considerations, platform-growth strategies, or operational needs. Such modifications shall become effective upon publication on the platform or communication through any official TP channel (website, tutor dashboard, email, WhatsApp, or SMS). Continued participation on the platform shall constitute acceptance of the revised terms. It is your responsibility to remain informed of the latest policies published by TP.
3.14 Withholding & recovery of payouts. TP reserves the right to withhold, delay, adjust, recover, or forfeit any pending payout in cases involving policy violations, fee circumvention, direct payment arrangements with parents, fraudulent activity, non-reporting of conversions, disputes, chargebacks, or any conduct deemed detrimental to the interests of the platform.
4.1 Commitment. In consideration of TP's lead generation services, you agree not to solicit, encourage, or facilitate any parent or student introduced to you via TP to engage your services outside the platform, or to make payments directly to you bypassing TP's commission, during the Non-Circumvention Period.
4.2 Period. The Non-Circumvention Period is 12 (twelve) months from the date of the first platform-facilitated introduction between you and the relevant student.
4.3 Liquidated damages. You agree to pay liquidated damages of Rs 10,000 per instance of circumvention, which the parties acknowledge is a genuine pre-estimate of TP's minimum loss per missed conversion, and not a penalty. TP reserves the right to recover actual losses exceeding this amount.
4.4 Evidence. A tutor's independent collection of fees from a TP-introduced student within the Non-Circumvention Period shall, in the absence of a satisfactory explanation, constitute prima facie evidence of circumvention.
4.5 Survival. This clause survives termination of this Agreement.
5.1 Zero-tolerance. TP maintains an absolute zero-tolerance policy toward any form of abuse, harassment, exploitation, inappropriate conduct, or financial fraud involving students or their families.
5.2 Home tuition safety. For home tuition involving a student under 18, you must ensure that at least one parent, guardian, or responsible adult family member is present within the premises throughout the duration of the session. You must not conduct home tuition with minors in the absence of such supervision.
5.3 Online conduct. For online sessions, use only the communication channel agreed with the parent. Unsolicited private messaging with minor students outside agreed session channels is prohibited.
5.4 Mandatory reporting. If you become aware of any abuse, neglect, or risk of harm to a student, you are encouraged to report it to the appropriate child welfare authorities and to notify TP at safeguarding@tutorsparliament.com.
5.5 Consequences. Breach will result in immediate suspension pending investigation, permanent termination upon finding of misconduct, and reporting to law enforcement under the POCSO Act 2012, the Bharatiya Nyaya Sanhita 2023, and other applicable law.
6.1 Accuracy of profile. You are solely responsible for the accuracy and completeness of your tutor profile and must not misrepresent your qualifications, experience, methodology, or availability.
6.2 Responsiveness. You agree to respond to matched leads within a reasonable time (ideally within 24 hours) and to maintain a minimum level of engagement as communicated by TP from time to time.
6.3 Authority Score. TP assigns each Tutor an internal "Authority Score" reflecting profile completeness, verification status, responsiveness, and student feedback. This proprietary metric influences profile visibility and lead priority. You may contact support to request a review of your score; TP's determination shall be final and binding.
6.4 Profile modifications. TP reserves the right to edit, modify, or remove any element of your profile that contains inaccurate or misleading information, violates applicable laws, or is inconsistent with TP's platform standards. TP will notify you of material changes.
6.5 Reviews. Student and parent reviews are the opinions of those users. TP does not verify their accuracy but will investigate and remove reviews that are demonstrably false or violate platform guidelines upon your written request.
You must not, at any time:
8.1 Platform ownership. All rights, title, and interest in and to the TP platform, website, matching algorithm, Authority Score system, brand assets, and proprietary content vest exclusively in Tutors Parliament.
8.2 Profile licence. By submitting your profile content (name, photo, qualifications, bio, subject details), you grant TP a non-exclusive, royalty-free, worldwide licence to display, reproduce, and use this content for operating the platform, promoting tutor profiles to parents and students, and marketing TP's services. This licence terminates upon permanent account closure, subject to any de-indexing timelines on search engines beyond TP's control.
8.3 Feedback. Any feedback, suggestions, or improvements you provide may be used by TP freely without any obligation of attribution or compensation.
9.1 No warranty. TP provides the platform on an "as is" and "as available" basis. We make no warranties regarding the volume or quality of leads; the character, suitability, or financial capacity of students or parents; uninterrupted or error-free operation; or any educational outcomes.
9.2 Cap on liability. To the fullest extent permitted by applicable law, TP's total aggregate liability to you — whether in contract, tort (including negligence), or otherwise — shall not exceed the total facilitation fees paid by you to TP in the three months preceding the event giving rise to the claim.
9.3 Consequential loss. TP shall not be liable for any indirect, incidental, special, consequential, or punitive loss, including loss of income, opportunity, or reputational harm, even if advised of the possibility of such loss.
9.4 Third-party acts. TP is not liable for any loss or damage caused by the acts or omissions of students, parents, or other third parties, including misconduct, non-payment, or false information provided by them.
You agree to indemnify, defend, and hold harmless Tutors Parliament, its officers, directors, employees, and affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your breach of this Agreement; (b) your misrepresentation of qualifications, identity, or professional conduct; (c) any harm caused by you to a student, parent, or third party; (d) your violation of any applicable law; or (e) your infringement of any third-party intellectual property or privacy right.
11.1 Suspension. TP may immediately suspend your account (without prior notice) if you are in material breach, a credible complaint of misconduct involving a minor is received, you are under active investigation by law enforcement, or your continued operation poses a reputational or legal risk to TP.
11.2 Termination for cause. TP may permanently terminate your account for confirmed misconduct, submission of fraudulent documents, repeated or material breach, or any conduct that TP reasonably deems harmful to the platform, its users, or the public.
11.3 Termination for convenience. Either party may terminate this Agreement on 14 days' written notice, without liability, provided no active tuition engagements are in progress that would leave students without support.
11.4 Effect of termination. Upon termination: your profile will be removed; pending facilitation fees due will be settled within 30 days; your non-circumvention obligations under Clause 4 survive for the balance of the Non-Circumvention Period; and your data will be handled per the Privacy Policy.
11.5 No reinstatement. Tutors terminated for cause are not entitled to reinstatement. TP may, in its sole discretion, deny future registrations from the same individual.
TP shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic or epidemic, governmental action or regulation, internet or telecommunications outages, cyberattacks, or any other event beyond TP's reasonable control ("Force Majeure Event"). TP will notify affected Tutors within a reasonable time. If a Force Majeure Event continues for more than 30 days, either party may terminate this Agreement without liability on 7 days' written notice.
This Agreement is governed by and construed in accordance with the laws of India.
The parties agree to first attempt resolution of any dispute through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (as amended).
Seat and venue. The seat of arbitration shall be Bengaluru, Karnataka. Proceedings shall be conducted in English before a sole arbitrator agreed by the parties, or appointed per the Act. Each party shall bear its own arbitration costs unless the arbitrator orders otherwise.
Nothing in this clause prevents either party from seeking urgent injunctive or interlocutory relief from a competent court in India.
TP reserves the right to amend this Agreement at any time. We will notify you of material changes by email to your registered address, a prominent notice on the platform, and/or in-app notification. Your continued use of the platform after the effective date of any amendment constitutes acceptance of the revised Agreement. If you do not agree to a material change, you may terminate your account within 14 days of notification without penalty for the change itself.
